1. Agreement to Terms

By downloading, installing, accessing, or using the SoleDip iOS application ("App") and related services provided by 3QInnova LLC, a limited liability company operating under the trade name 3qInnova (collectively, "Company," "Provider," "we," "us," or "our"), you acknowledge and agree to be legally bound by these Terms of Use ("Terms"). If you do not agree to the entirety of these Terms, you shall not download, install, access, or use the App or Services. These Terms apply to all users without exception, including but not limited to casual visitors and registered account holders.

2. License and Permitted Use

3QInnova LLC grants you a limited, non-exclusive, non-transferable, revocable license to download and use the SoleDip App, a multi-category product price monitoring and tracking service, solely for personal, non-commercial purposes in accordance with these Terms. The App allows you to track prices on a wide range of products including but not limited to footwear, apparel, electronics, home goods, and other consumer items across supported retailers. You agree not to:

  • Copy, modify, or distribute the App or any portion thereof without written authorization
  • Reverse engineer, decompile, or attempt to derive source code or proprietary algorithms
  • Remove or alter any proprietary notices, labels, or copyright attributions
  • Use the App for any unlawful, prohibited, or commercial purpose without authorization
  • Interfere with, disrupt, or impede the operation of the App, Services, or Company servers
  • Attempt to gain unauthorized access to the App, Services, user accounts, or Company systems
  • Scrape, crawl, or automate retrieval of product data, pricing information, or user data beyond normal individual App usage
  • Use the App in any manner that violates the intellectual property rights of retailers or third parties

3. User Responsibilities

You are responsible for maintaining the confidentiality of your account information and for all activities under your account. You agree to:

  • Use the App honestly and in good faith
  • Comply with all applicable laws and regulations
  • Respect the intellectual property rights of others
  • Not engage in harassment, abuse, or hateful conduct
  • Promptly notify us of unauthorized account access

4. Intellectual Property Rights

The App, including its design, code, content, and trademarks, is the exclusive property of 3QInnova LLC and its licensors. All rights are reserved. You may not use any of these materials without our prior written consent, except as permitted by these Terms.

The SoleDip name, logo, and branding are trademarks of 3QInnova LLC. Other brand names and logos may be trademarks of their respective owners.

5. Product Information, Pricing Data, and Retailer Links

SoleDip provides product information, pricing data, retailer links, and related content for informational purposes only across multiple product categories and retailers. The Company does not warrant, represent, or guarantee the accuracy, completeness, timeliness, or reliability of any pricing information, product descriptions, or retailer links provided through the App. Price information displayed may lag behind actual retailer prices by minutes, hours, or longer depending on data sources and update frequency.

You expressly acknowledge and agree that:

  • Product prices, discounts, and promotions are subject to change by retailers at any moment without notice to the Company or to you
  • Product availability, inventory levels, and stock status may change at any time and vary by location or retailer
  • The Company is not responsible for retailer policies, terms of service, shipping costs, taxes, return policies, product quality, or product availability
  • Hyperlinks and references to retailer websites and third-party services are provided for convenience; your access and use of such third-party sites is governed by their respective terms of use and privacy policies, which you agree to comply with
  • The Company does not endorse, control, or assume responsibility for any third-party retailer content, product listings, or business practices

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLEDIP AND 3QINNOVA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO USE THE APP IN THE 12 MONTHS PRECEDING THE CLAIM (IF APPLICABLE).

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The App will be uninterrupted or error-free
  • Price data will be accurate or up-to-date
  • Notifications will be delivered reliably
  • The App will be compatible with all devices

8. Service Interruptions

We may temporarily interrupt or suspend the App for maintenance, updates, or security reasons. We will attempt to provide notice, but do not guarantee advance notification. We are not liable for any loss or damage resulting from temporary service interruptions.

9. Third-Party Content and Links

The App may contain links to third-party websites and services, including retailer websites. We are not responsible for:

  • The content, accuracy, or functionality of third-party sites
  • Privacy practices or terms of third-party services
  • Any transactions or interactions with retailers

Your use of third-party services is governed by their respective terms and privacy policies. We encourage you to review them before providing any information.

10. Prohibited Activities

You agree not to use the App to:

  • Violate any laws or regulations
  • Harass, abuse, threaten, or defame any person
  • Infringe on intellectual property rights
  • Transmit viruses, malware, or harmful code
  • Engage in spam, phishing, or fraud
  • Manipulate retailer systems or circumvent security measures
  • Resell price data or use it for commercial purposes without permission

11. Termination

We may terminate or suspend your access to the App at any time, with or without cause, and without prior notice. Causes for termination include (but are not limited to) violation of these Terms, illegal activity, or excessive abuse of App resources.

Upon termination, your license to use the App terminates, and you must delete all copies from your device.

12. Indemnification

You agree to indemnify and hold harmless 3QInnova LLC, its officers, employees, and agents from any claims, damages, or costs arising from:

  • Your violation of these Terms
  • Your use or misuse of the App
  • Your violation of any laws or third-party rights
  • Any content you submit or upload

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the substantive laws of the State of Colorado, United States of America, without regard to its conflict of law principles or provisions. You hereby consent to the exclusive jurisdiction of the state and federal courts located in Colorado for the resolution of any dispute, claim, or controversy arising from or relating to these Terms, the App, or the Services. You agree to submit to the personal jurisdiction of such courts and waive any objection to venue or claim of inconvenient forum.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date. Your continued use of the App following such modifications constitutes your acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
